TERMS OF SERVICE

Last Updated: September 19, 2026

These Terms of Service (“Terms”) govern the use of the website and services provided by Madtown Media Marketing LLC (“Madtown Media Marketing,” “Madtown,” “we,” “us,” or “our”).

By using our website, purchasing services, approving a proposal, submitting payment, or otherwise engaging Madtown Media Marketing for services, you agree to these Terms.

If you enter into a separate written service agreement, proposal, statement of work, order form, or other signed agreement with Madtown, that agreement will control if it conflicts with these Terms.

1. OUR SERVICES

Madtown Media Marketing provides marketing, advertising, creative, video, and digital services that may include:

  • Video production and editing
  • AI-assisted video creation
  • AI avatars and synthetic voice services
  • YouTube channel creation, optimization, management, and monetization-readiness services
  • Social media management
  • Paid advertising management
  • Streaming TV / Connected TV advertising
  • Marketing strategy and related services

Specific deliverables, pricing, platforms, schedules, service periods, and other project terms may be described in the applicable proposal, invoice, checkout page, payment page, order, or written agreement.

2. NO GUARANTEE OF RESULTS

Marketing and advertising results depend on many factors outside Madtown’s control.

Madtown does not guarantee:

  • Sales
  • Revenue
  • Leads
  • Customers
  • Return on ad spend
  • Cost per lead
  • Views
  • Followers
  • Subscribers
  • Viral performance
  • Organic reach
  • Search rankings
  • Social media growth
  • YouTube monetization approval
  • A specific YouTube approval date
  • Specific advertising inventory
  • Specific Streaming TV networks, shows, apps, placements, or impression volume unless expressly confirmed in writing

Third-party platforms make their own decisions regarding distribution, algorithms, advertising inventory, account eligibility, policies, restrictions, monetization, and approvals.

Madtown will perform purchased services using reasonable professional efforts but does not promise a particular business or financial result.

These limitations are consistent with Madtown’s existing sales and fulfillment policies.

3. CLIENT RESPONSIBILITIES

Clients are responsible for providing accurate and timely information, materials, approvals, and access required to perform purchased services.

Depending on the service, clients may need to provide:

  • Logos and brand materials
  • Photos and videos
  • Audio or voice recordings
  • Business information
  • Product or service information
  • Pricing and offers
  • Required disclaimers
  • Website or landing-page information
  • Account permissions
  • Advertising account access
  • Creative direction
  • Approval contacts
  • Feedback
  • Deadlines
  • Required authorizations

Project schedules may be delayed when required assets, information, access, approvals, or feedback are not provided on time.

Clients are responsible for ensuring that they have the legal right to provide and authorize use of any photographs, video, audio, logos, music, trademarks, testimonials, likenesses, written materials, or other content supplied to Madtown.

4. ACCOUNT ACCESS AND SECURITY

Madtown generally uses official platform permissions, partner access, manager roles, or other supported account-access methods.

Clients should not send Madtown:

  • Account passwords
  • Security questions
  • Backup codes
  • Two-factor authentication codes
  • One-time security codes

Clients should maintain ownership of their accounts and provide only the level of access reasonably required for the purchased service.

5. PRICING AND PAYMENT

Prices are those shown in the applicable proposal, invoice, checkout page, payment page, order, or written agreement.

Payment may be required:

  • In full before work begins
  • As an initial payment
  • As a setup fee
  • On a recurring basis
  • According to an approved custom payment schedule

Madtown may use third-party payment providers, including Stripe and payment technology integrated with GoHighLevel.

Taxes, advertising spend, media spend, third-party costs, and pass-through expenses may be separate from Madtown’s service fees unless expressly stated otherwise.

6. WHEN WORK BEGINS

For purposes of these Terms and Madtown’s Refund & Cancellation Policy, work may be considered to have begun when Madtown starts performing activities related to the purchased service.

This may include:

  • Research
  • Strategy
  • Planning
  • Account review
  • Account setup
  • Platform configuration
  • Scripting
  • Creative development
  • Video production
  • Editing
  • AI-content preparation or generation
  • Campaign preparation
  • Advertising setup
  • Social media preparation
  • YouTube optimization
  • Technical setup
  • Client-specific administrative preparation

Except where required by law or expressly agreed by Madtown in writing, all sales are final once work has begun.

7. REFUNDS

Except where required by applicable law or agreed by Madtown in writing, payments are nonrefundable once work has begun.

A client’s later decision to:

  • Stop a project
  • Change direction
  • Use another provider
  • Delay the project
  • Decide not to use completed work
  • Change business plans
  • Fail to provide required materials
  • Stop responding

does not create a right to a refund after work has begun.

Additional details are contained in Madtown’s Refund & Cancellation Policy.

8. RECURRING SERVICES AND 30-DAY CANCELLATION NOTICE

Certain Madtown services are provided on a recurring basis.

Recurring services require 30 days’ written notice of cancellation.

Cancellation requests must be submitted in writing to:

hello@madtownmediamarketing.com

The 30-day notice period begins when Madtown receives the written request.

Charges that become due during the 30-day notice period remain payable.

Depending on the timing of the request and the client’s billing date, an additional recurring payment may therefore become due before cancellation takes effect.

Unless otherwise agreed in writing, Madtown may continue providing the contracted service during the 30-day notice period.

A client’s request that work stop immediately does not automatically eliminate amounts that otherwise become payable during the required notice period.

9. RECURRING BILLING AUTHORIZATION

When a client purchases a recurring service, the client authorizes recurring charges according to the billing terms presented at checkout, on the invoice, or in the applicable agreement.

Recurring payments may continue automatically through Madtown’s connected payment provider until the service is properly cancelled according to the applicable cancellation requirements.

Payment failure may result in delayed, paused, suspended, or terminated services.

Madtown’s current operations use recurring subscriptions through its connected payment-processing systems where applicable.

10. ADVERTISING AND MEDIA SPEND

Advertising and media spend are generally separate from Madtown’s management fees unless a written agreement expressly states otherwise.

Clients may pay advertising or media platforms directly.

Madtown does not guarantee:

  • Advertising costs
  • Lead volume
  • Cost per lead
  • Sales
  • Return on ad spend
  • Audience availability
  • Specific placement
  • Specific inventory
  • Specific Streaming TV networks or programs

Third-party advertising and media charges already spent, committed, or incurred may not be refundable by Madtown.

11. PROJECT SCOPE

Madtown will perform the work described in the approved scope.

Requests that materially change the approved:

  • Concept
  • Deliverables
  • Quantity
  • Platform
  • Production method
  • Creative direction
  • Messaging
  • Service requirements

may be considered additional work.

Additional work may require:

  • A revised scope
  • Additional fees
  • A separate proposal
  • Additional production time

Madtown will communicate additional charges before performing additional paid work.

12. VIDEO REVIEW AND REVISIONS

Unless a specific order or agreement states otherwise, Madtown provides one complimentary revision round for requested video changes that remain within the originally approved concept and scope.

Clients should review the entire video and provide consolidated feedback whenever reasonably possible.

Revision requests should normally be submitted within 7 business days of receiving the video.

If additional review time is needed, the client should contact Madtown before the review period expires.

A request to substantially change an approved or completed direction may be treated as new scope.

Examples include changing:

  • The primary concept
  • Avatar
  • Footage strategy
  • Production approach
  • Messaging direction
  • Overall creative direction

A client’s decision to change creative direction after work has begun does not make the original work refundable.

13. AI-GENERATED CONTENT, LIKENESS, AND VOICE

Some Madtown services may involve artificial intelligence.

If a client requests use of an AI-generated likeness, avatar, or synthetic voice, the client must have legal authority to provide and authorize use of the supplied:

  • Photographs
  • Video
  • Audio
  • Voice recordings
  • Likeness
  • Other reference materials

AI-generated output may not perfectly reproduce every facial expression, movement, visual characteristic, vocal quality, or other feature of a real person.

Madtown does not guarantee perfect replication.

14. YOUTUBE SERVICES

YouTube makes all final decisions concerning:

  • Channel eligibility
  • Monetization
  • YouTube Partner Program approval
  • Policy compliance
  • Restrictions
  • Demonetization
  • Reapplication

Madtown does not guarantee YouTube monetization approval or a specific approval date.

Certain YouTube services may require the client to provide channel access, information, or content before work begins.

For Madtown’s current Monetization Readiness service, clients are expected to upload the required private videos before readiness work begins.

15. SOCIAL MEDIA AND THIRD-PARTY PLATFORMS

Social media platforms, advertising platforms, video platforms, search platforms, hosting providers, payment providers, and other third-party services operate independently of Madtown.

Madtown is not responsible for third-party:

  • Outages
  • Algorithm changes
  • Policy changes
  • Account restrictions
  • Account suspensions
  • Monetization decisions
  • Pricing changes
  • Feature changes
  • Technical failures
  • Advertising inventory changes

Madtown may make reasonable adjustments when third-party platform changes affect service delivery.

16. CLIENT APPROVALS

This may include approval of:

  • Videos
  • Advertising
  • Copy
  • Creative concepts

  • Brand materials
  • Other deliverables

Madtown may rely on approvals provided by the client’s designated approval contact.

Clients are encouraged to consolidate internal feedback before submitting requested revisions.

17. INTELLECTUAL PROPERTY AND CLIENT MATERIALS

Clients retain ownership rights in materials they provide to Madtown.

By providing those materials, the client grants Madtown permission to use them as reasonably necessary to provide the purchased services.

Ownership and usage rights relating to completed work may also be described in the applicable proposal, order, or written agreement.

Third-party:

  • Stock media
  • Music
  • Fonts
  • Software
  • Templates
  • Platform technology
  • Licensed assets

remain subject to the applicable third-party licenses and restrictions.

18. PREPAID CONTENT AND CONTENT BANKS

Prepaid video minutes, content banks, bundled minutes, or similar prepaid services are subject to the applicable purchase terms.

Once work begins using prepaid production time, the applicable purchase is nonrefundable.

Certain bundled AI Video Content Bank minutes are provided as a one-time allotment and may be subject to an expiration period stated in the package or order terms. Madtown’s current approved bundles provide certain included AI minutes once at signup rather than replenishing them monthly.

19. CLIENT DELAYS

Project schedules depend on timely client cooperation.

Madtown may pause or delay work when a client fails to provide required:

  • Information
  • Materials
  • Access
  • Assets
  • Approvals
  • Feedback
  • Payment

Client-caused delays do not automatically create a right to a refund.

20. SUSPENSION OR TERMINATION OF SERVICES

Madtown may pause, suspend, or terminate services where reasonably necessary, including situations involving:

  • Nonpayment
  • Repeated payment failure
  • Fraud
  • Suspected fraud
  • Illegal activity
  • Abuse or threats
  • Material breach of an agreement
  • Requests that would violate law
  • Requests that violate third-party platform rules
  • Failure to provide information or access necessary to perform the service

Termination does not automatically create a right to a refund for services already performed, work already begun, or expenses already incurred.

21. CHARGEBACKS AND PAYMENT DISPUTES

Clients are encouraged to contact Madtown before initiating a chargeback or payment dispute so that Madtown has an opportunity to review and attempt to resolve the issue.

  • Transaction records
  • Agreements
  • Invoices
  • Communications
  • Approval records
  • Project records
  • Delivery records
  • Evidence that work began

Nothing in these Terms limits rights that cannot legally be waived.

22. LIMITATION OF LIABILITY

To the maximum extent permitted by applicable law, Madtown will not be liable for indirect, incidental, special, consequential, or speculative damages arising from matters such as:

  • Marketing performance
  • Advertising performance

Nothing in these Terms excludes or limits liability that cannot legally be excluded or limited.

23. INDEMNIFICATION

To the extent permitted by law, clients agree to be responsible for claims arising from materials, instructions, representations, products, services, trademarks, footage, music, testimonials, likenesses, or other content supplied by the client when the client does not have the legal right or authority to provide or authorize their use.

24. THIRD-PARTY SERVICES

Madtown may use third-party providers in connection with its services, including technologies used for:
